These Terms and Conditions (“Agreement”) govern the use of the BoxTrucksLoadBoard.com platform (the “Service”) provided by BoxTrucksLoadBoard, Inc., a Delaware corporation (“we”, “us”, or “our”). By accessing or using the Service, you (“Customer”, “User”, or “you”) agree to be bound by this Agreement.

1. THE SERVICE

1.1 Scope - This is a web-based platform. This Service enables Users to post, search for, and bid on freight loads, primarily for cargo vans, sprinter vans, box trucks of all sizes, or expedited freight.

1.2 Eligibility - You must be at least 18 years of age, possess the legal authority to enter into this Agreement, and hold an active MC number (where applicable) to engage with brokers.

1.3 No Broker Guarantee - We are not a freight broker, carrier, or shipper. We do not guarantee load availability, booking success, broker payment, or freight delivery outcomes.

2. ACCOUNT USE AND RESPONSIBILITY

2.1 Account Security - You are solely responsible for maintaining the confidentiality of your login credentials and activity under your account.

2.2 User Conduct - You agree not to: - Misrepresent your identity, MC authority, vehicle type, or availability - Interfere with the integrity or security of the platform - Contact brokers or users off-platform to circumvent payment - Use automated systems (bots, scrapers, scripts) without written permission

2.3 License - We grant you a limited, non-exclusive, revocable license to use the platform strictly for lawful and professional logistics activity. We retain all intellectual property rights.

3. PAYMENT TERMS

3.1 Billing - All plans are billed in advance (monthly or annually). By subscribing, you authorize us to charge your payment method on file.

3.2 Refunds - All payments are non-refundable, including for non-usage, load availability, or bid outcomes.

3.3 Payment Disputes - If your payment fails, your account may be suspended or terminated without notice. You remain liable for all unpaid amounts and collection costs.

4. PLATFORM INTEGRITY & DATA USE

4.1 System Monitoring - We reserve the right to monitor all activity for abuse, fraud, or violations of these terms.

4.2 Load & User Data - All broker-posted loads are provided “as-is.” We do not verify load legitimacy, payout, insurance, or freight details. You are responsible for due diligence.

4.3 Third-Party Content - Brokers and carriers are independent parties. We are not liable for third-party statements, bids, contracts, payments, disputes, or misrepresentations.

4.4 Third-Party Load Postings - The platform is a technology service only. We do not own, control, or verify any freight loads posted on the site. All load postings are submitted by third-party brokers, carriers, or reposted from outside sources. We make no warranties or guarantees regarding the accuracy, authenticity, or reliability of any load. You agree that: - We are not responsible for payment, performance, or accuracy of any third-party load - All load-related transactions are strictly between you and the posting party - You must perform your own due diligence before accepting or acting on any load posting.

In no event shall BoxTrucksLoadBoard.com be held responsible for any loss, damage, delay, or liability arising from your reliance on a load posted by another party.

5. LIMITATION OF LIABILITY

5.1 No Warranties - The Service is provided “as-is.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

5.2 No Liability for Damages - We are not liable for indirect, incidental, consequential, or punitive damages, including lost income, failed bookings, downtime, or third-party disputes.

5.3 Maximum Liability - Our total liability is limited to the amount paid by you in the six (6) months prior to the claim.

6. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BoxTrucksLoadBoard.com and its officers, employees, and affiliates from any claims, liabilities, damages, or expenses arising from: - Your use or misuse of the Service - Your violation of these terms - Your dealings with brokers, carriers, or users - Any content or data you provide

7. TERMINATION

7.1 Suspension & Termination - We may suspend or terminate your account at any time for violation of this Agreement, nonpayment, or misuse of the Service.

7.2 Effect of Termination - Upon termination, all access must cease immediately. No refunds will be issued. Sections 3, 5, and 6 survive termination.

8. GENERAL TERMS

8.1 Governing Law - This Agreement is governed by the laws of Delaware.

8.2 Dispute Resolution - All disputes shall be resolved by binding arbitration in Delaware. No class actions permitted.

8.3 No Guarnatee of Loads - Use of the platform does not guarantee load volume, income, or successful bids.

8.4 Force Majeure - We are not liable for events beyond our control (e.g. natural disasters, outages, cyberattacks).

Modifications - We may update these Terms at any time. Continued use of the Service constitutes acceptance.
